Terms of Service
Last updated: 30 August 2026
Welcome to Holy Grail. These Terms of Service, together with our Privacy Policy (collectively, these 'Terms'), are a legally binding contract between you and Shukudai Labs Pte. Ltd. (UEN 202639854R), the Singapore company that operates Holy Grail ('Shukudai Labs,' 'we,' or 'us'), regarding your use of the Holy Grail web application at grail.moe and our related services (collectively, the 'Service').
PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR BY ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND AGREE TO BE BOUND BY, THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
NOTICE OF ARBITRATION AND CLASS ACTION WAIVER
Except for certain disputes described in Section 12, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and by accepting these Terms, you and Shukudai Labs waive the right to a trial by jury or participation in a class action.
1. Service Overview
The Holy Grail platform provides free educational resources for students in Singapore, including summary notes and practice papers. The free resources stay free. We also offer optional paid practice features ("Premium"), described in Section 4.
2. Eligibility
To use the Service, you must be in compliance with all applicable laws. By agreeing to these Terms, you represent that:
- You have not been suspended or removed from the Service.
- Your registration and use of the Service comply with all applicable laws and regulations.
- If you are using the Service on behalf of an organization, you are authorized to bind that entity to these Terms.
The Service is built for students, including students under 18. If you are under 18, you confirm that a parent or guardian agrees to these Terms on your behalf where their consent is required. If you are under 13, please use the Service with a parent or guardian's involvement, as described in our Privacy Policy.
3. Accounts and Registration
To access some features of the Service, you must register for an account. You can register with an email address and password, or sign in with Google or Apple. You agree to provide accurate, complete, and current information when registering and to keep this information up to date. You are responsible for all activities occurring under your account. If you suspect unauthorized use of your account, you must notify us immediately at team@shukud.ai.
4. Paid Services and Billing
- Premium subscription: Premium is a monthly subscription; the current price is always shown on our pricing page. Subscriptions renew automatically each month until cancelled. You can cancel at any time from your account page, and you keep Premium access until the end of the period you have already paid for.
- Passes: We also sell one-time passes lasting 1, 3, 6, or 12 months. A pass is a single payment, not a subscription: it does not renew, and it ends when its period ends. If you buy a pass while you already have Premium coverage (from a subscription or another pass), the pass starts after your existing coverage ends, and any active subscription billing is paused so that you are never charged twice for the same period.
- Practice credits: You can buy practice credits in the pack sizes shown on our pricing page. Credits never expire and are spent only after your weekly practice quota runs out. Credits are consumed when practice content is generated and are not returned if you later delete what was generated.
- Payment processing: Payments are handled by our payment processor, Stripe, by card or PayNow. We do not store your card or bank details. Prices are in Singapore dollars.
- Refunds: Except where required by law, payments are not refundable once the subscription period, pass, or credits have been delivered. If something goes wrong with a purchase (for example, you were charged but did not receive access), contact us at team@shukud.ai and we will put it right.
- Changes: We may change prices or what is included in paid plans from time to time. Price changes apply from your next billing period, and we will give you reasonable notice of any increase.
5. Your Content
You can upload notes, papers, and other study materials to the Service ("Your Content"). You keep ownership of Your Content; these Terms do not transfer ownership to us.
Licence to us. So that we can operate the Service, you grant Shukudai Labs a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable licence to host, store, reproduce, adapt, format, excerpt, publish, distribute, display, and make available Your Content as part of the Service and to promote the Service. This licence survives closure of your account: as described in our Privacy Policy, contributed materials remain in the library, but your attribution is removed.
Your promises about Your Content. By uploading, you promise that:
- you own Your Content or have all rights and permissions needed to upload it and to grant the licence above;
- Your Content, and our use of it as allowed by these Terms, does not infringe the rights of any person, including copyright and privacy rights;
- Your Content is not unlawful, misleading, or harmful; and
- if Your Content includes personal data about anyone else, you have their permission to share it.
Moderation. We review contributions before they are published, and we may remove, decline, or adjust the presentation of any of Your Content at our discretion, including in response to a complaint from a rights owner.
Usage data. We may collect anonymized performance and usage data related to use of the Service and use it to improve the Service.
6. Copyright Complaints
We respect intellectual property rights and expect the same of our users. Much of the library is contributed by users, and we rely on the promises they make in Section 5 when they upload.
If you believe material on the Service infringes your copyright, email us at team@shukud.ai with the subject line 'Copyright complaint,' including:
- identification of the work you say is infringed, and your relationship to it (owner or authorized agent);
- the address (URL) of the material on the Service;
- your contact details; and
- a statement that you believe in good faith that the use is not authorized, and that the information in your complaint is accurate.
We review complaints promptly, remove or disable access to material where appropriate, and may inform the contributor, who may respond with evidence of their rights. We may restore material if a complaint is not made out, and we may terminate the accounts of repeat infringers.
Rights owners who would prefer that their materials not appear on the Service at all can write to the same address, and we will act on verified requests.
7. Communications
We send emails about your account and the Service as needed, such as verification emails, receipts, security notices, and important service announcements. We do not send marketing email unless you have separately agreed to receive it.
8. Termination
Shukudai Labs reserves the right to terminate or suspend your account at any time for any reason, including but not limited to violations of these Terms. Upon termination, you must cease all use of the Service, and any outstanding fees or obligations must be paid. Sections 5, 6, and 10 to 13 survive any termination of these Terms.
9. Modifications to the Service
We reserve the right to modify or discontinue any part of the Service at any time, without notice. We will not be liable to you for any modification, suspension, or discontinuation of the Service.
10. Indemnity
You agree to indemnify and hold harmless Shukudai Labs from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Service, Your Content, or your violation of these Terms.
11. Disclaimers and Limitation of Liability
The Service is provided 'as is,' and Shukudai Labs disclaims all warranties of any kind. We do not guarantee uninterrupted, secure, or error-free access to the Service. The Service provides study aids: we do not guarantee that any material is accurate, complete, current, or aligned with any syllabus, or that using the Service will produce any particular academic result.
In no event shall Shukudai Labs be liable for any indirect, incidental, special, or consequential damages arising from the use of the Service. To the maximum extent permitted by law, Shukudai Labs' total liability for all claims arising out of or relating to the Service is limited to the greater of S$100 and the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded under Singapore law.
12. Dispute Resolution and Arbitration
All disputes will be resolved through binding arbitration in Singapore, in accordance with the Singapore Arbitration Act. By agreeing to these Terms, you waive the right to a trial by jury or participation in any class action or representative proceeding.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.
14. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes are made constitutes your acceptance of the updated Terms.
